One. General ground

   1.1 The purpose of the charter is to define the goal, activities, management and organizational structure of the “Climate Change Research and Cooperation Centre” state-owned enterprise and to regulate its related actions.

1.2 “Climate Change Research and Cooperation Centre” is a self-funded state-owned enterprise (hereinafter referred to as “the Centre”) which ensures the implementation of policies and resolutions approved by Parliament, Government and the Ministry of Environment and Tourism of Mongolia, operates activities on the principle of self-funding based on the property allocated to it and capable to engage in civil law relations independently.

1.3 The Centre shall operate within the framework of the Law on Civil Code, the Law on Environmental Protection, the Law on State and Local Property, the Law on Accounting, the Law on Labor, international treaties and relevant acts, and the state policy, program and plan on climate change including this charter.

1.4 The Centre shall operate under the professional and methodological guidance of the Ministry of Environment and Tourism of Mongolia.

Two. Name and address of the Centre

2.1 The name of the state-owned enterprise “Climate Change Research and Cooperation Centre” is “Climate Change Research and Cooperation Centre” State-Owned Enterprise and the abbreviated name is ““CCRCC” SOE”.

2.2 The address of the Centre is “Mongolia, Ulaanbaatar 15160, Chingeltei District, United Nations Street 5/2, Government building 2, Ministry of Nature, Environment and Tourism”.

2.3 Amendments to the address shall be registered in the state registry by the Centre.

Three. Logo and stamp of the Centre

3.1 The Centre shall use its own logo, letterhead and stamp with its own name.

   3.2 The design of the logo shall be approved by the order of the director in consultation with the Ministry of Environment and Tourism.

3.3 Official resolution, official letters, contracts and agreements of the Centre shall be approved by the director and official personnel authorized by his / her order.

3.4 The stamp shall be used by the director of the Centre or personnel authorized by the director who are responsible for its storage and protection.

Four. Aims of the Centre's activities

4.1 The Centre aims to ensure the implementation of ratified international treaties, resolutions of Great State Assembly and Government of Mongolia and policies pursued by the Ministry of Environment and Tourism of Mongolia on climate change; organizing national and international events and supporting the initiative and efforts of organizations to introduce new technologies to combat climate change.

4.2 The Centre shall approve and implement an annual action plan in consultation with the Ministry of Environment and Tourism of Mongolia .

4.3 The Centre shall operate in the following areas:

4.3.1 Prepare relevant reports on the implementation of the UN Framework Convention on Climate Change;

4.3.2 Act as the professional agency working with the Green Climate Fund on climate change;

4.3.3 Act as the secretariat of the Joint Crediting Mechanism (JCM) within the Mongolia-Japan Low Carbon Development Partnership agreement;

4.3.4 Ensure the implementation of the Paris Agreement;

4.3.5 Develop and implement internationally funded projects and programs in the field of economic and social sectors on climate situation and it`s change;

4.3.6 Provide technical and methodological assistance to the “National Climate Committee”;

4.3.7 Conduct, evaluate and draw conclusions on various research work in the field of climate change;

4.3.8 Povide consultancy services in accordance with it`s rules;

4.3.9 Cooperate with concerned domestic and foreign partners, both government and non-government, international organizations, private business entitles, by exchanging information, signing MoUs and agreements, and performing various joint activities and programs.

4.3.10 Others not prohibited by law.

Five. Rights and obligations of the Centre

5.1 The Centre shall implement the rights and obligations in the Law on State and Local Property.

Six. Management and organizational structure of the Centre

6.1 Government Agency for Policy Coordination on State Property shall determine the organizational structure and staffing limits of the Centre based on the proposal of the Ministry of Environment and Tourism of Mongolia.

6.2 Government Agency for Policy Coordination on State Property shall appoint and dismiss the director of the Centre based on the proposal of The Ministry of Environment and Tourism of Mongolia.

6.3 The director manages the day-to-day operation of the Centre.

6.4 The director shall meet the requirements specified in paragraphs 2 and 3 of Article 18 of the Law on State and Local Property.

6.5 The Director has the following rights and responsibilities in addition to those specified in Article 20.1 of the Law on State and Local Property:

6.5.1 Implement the legislation and resolution of the Ministry of Environment and Tourism including decrees, resolutions and programs on climate change;

6.5.2 Plan an action plan of the Centre based on the proposal of The Ministry of Environment and Tourism, organize its implementation, ensure the execution and reporting.

6.5.3 Take necessary measures to ensure the normal operation, improve the capability of finance, solvency and enhance the reputation of the Centre;

6.5.4 Keep confidential information of operation and business secrets while performing their duties and not to use them in the interests of individuals and other enterprise;

6.5.5 Approve job descriptions of employees in accordance with the activities and structure of the Centre, appoint employees, conclude employment contracts, impose disciplinary sanctions and dismiss employees on the grounds specified in the legislation;

6.5.6 Acquisition and disposal of new fixed assets and it`s sale or transfer shall be approved by the Government Agency for Policy Coordination on State Property;

6.5.7 Determine the human resource needs of the Centre, organize retraining, specialization and professional development of employees in the field of general services;

6.5.8 Take measures on salaries, bonuses and social security of employees within the approved staffing limits and salary fund;

6.5.9 Issue orders within his/her rights and approve relevant rules, procedures and instructions;

6.5.10 The director may temporarily delegate rights to the relevant official, except for the financial issues and appointment and dismissal of employees in his/her absence, such transfer of rights shall not be a ground of evading his/her responsibilities.

6.5.11 Other specified in the legislation.

6.6 An official authorized by the director shall be prohibited from co-operating with other business entities and organizations, participating in their activities and restricting competition, or engaging in any activities that promote unfair competition.

Seven. Funding, financial accounting and reporting

7.1 The Centre shall cover its costs by its income, shall operate on the profit-and-loss basis and shall finance itself.

7.2 Activities of the Centre shall be funded through contracts and the Centre’s financial resources shall be capital acquired through business, incomes from its own activities and financial reserve.

7.3 The Centre’s financial resources comprise of the following incomes:

7.3.1 Income from activities and services provided within the scope of cooperation agreements with governmental, non-governmental and international organizations;

7.3.2 Loan, technical cooperation agreement and grant from international organization and partner country, bank loan, and funding from projects and programs;

7.3.3 Other income acquired through providing services approved in this charter and legislation;

7.3.4 Other specified in legislation.

7.4 The Centre shall develop a financial report every year in accordance with the Law on Accounting and other legislation, and in adherence to international accounting standards, conduct auditing and report to concerned authority.

7.5 The Centre’s accountant must be a certified public accountant and he/she shall be appointed and dismissed by the director.

7.6 A contract auditor can be selected to review and verify the Centre’s financial report and to conduct comprehensive and partial inspection on financial activities of the Centre.

7.7 The director and the accountant shall be responsible for the accuracy of the financial report.

7.8 The director shall provide a report about the activities, administration and management, expenditure and outcomes of the current year to the Ministry of the Environment and Tourism of Mongolia, the Government Agency for Policy Coordination on State Property and other concerned organizations by December 25 of each year.

Eight. Monitoring

8.1 The Ministry of Environment and Tourism of Mongolia shall conduct annual monitoring and evaluation of the Centre’s activities and shall provide guidance and conclusion.

8.2 The accountant shall implement oversight of the preservation and protection of the Centre’s property and capital through registry.

8.3 The Government Agency for Policy Coordination on State Property shall monitor ownership, preservation, protection, maintenance and financial activities of state-owned capital in possession of the Centre.

Nine. Preservation of the Centre’s documents

9.1 The Centre shall conduct official document management and preservation in accordance with official procedures for filing and in adherence to the Law on Archives and official document management standards, and shall preserve the following documents:

9.1.1 charter and its amendments, decree of authorized organization that established the Centre, state registration certificate and other certificates;

9.1.2 financial activity report and its audited financial statement and recommendation;

9.1.3 source documents for accounting and reflected property listing and certification documents of property;

9.1.4 passports for buildings and equipment, employee profiles, blueprints, approved sketches, investment, budget execution of overhauls, official documents, conclusions, and other related documents;

9.1.5 documents relating to norms and normative for services and their concerned standards, regulations, guidelines, amendments, and other documents;

9.1.6 meeting protocols, resolutions, director’s decrees;

9.1.7 contracts and documents related to their fulfilment;

9.1.8 other necessary documents.

9.2 The above-mentioned documents shall be received, preserved, and transferred to the archives in accordance with concerned regulations.

Ten. Other

10.1 This charter and its amendments shall enter into force on the day of state registration.

10.2 Other matters not reflected in this charter shall be coordinated by the Law of Mongolia on State and Local Property and by other concerned laws and regulations.
